C.H. Robinson said on October 5 it has agreed to acquire RXO. RXO holders get $17.25 in cash and 0.0856 C.H. Robinson shares for each share, an implied $30.25 that is 29% above RXO's October 2 close. The company puts the transaction at $5.8 billion and the combined enterprise value at more than $25 billion. It is funded with new debt backed by a bridge facility from Morgan Stanley, and closing is planned for the first half of 2027 subject to regulators and an RXO shareholder vote.
Why it matters for listed companies
The deal joins two of the largest US truck brokers at a time when freight rates are weak. C.H. Robinson is aiming for about $300 million of run-rate cost savings within two years of closing and says RXO's shipment data widens the datasets behind its AI-driven pricing, matching and procurement. RXO holders would own about 11% of the combined company. For other listed brokers and asset-light logistics groups the effect is competitive: a bigger rival with a lower cost to serve. The new debt adds leverage at C.H. Robinson while US yields are high, and the antitrust review is the main open condition.
