CD&R and McKesson agree to buy home-infusion provider Option Care Health for $32.05 a share, about $5.8 billion

US Health Care

What happened

Private equity firm Clayton, Dubilier & Rice and drug distributor McKesson signed an agreement to acquire Option Care Health for $32.05 a share in cash, an enterprise value of about $5.8 billion and roughly 37% above the October 5 closing price. CD&R takes about 51% and McKesson about 49% for an investment of about $1.4 billion; the agreement sets terms under which McKesson can later buy CD&R's interest. Five banks have committed financing. Closing is planned for the first half of 2027, subject to a shareholder vote and regulatory clearances.

Why it matters for listed companies

Option Care gives infusion drugs at home and in clinics instead of hospitals, a channel insurers favour because it costs less. McKesson, which already distributes specialty drugs, gains a stake in the provider that administers them, and a path to full ownership. For other US drug distributors and home-health companies the deal sets a reference price — a 37% premium — and continues the move of distributors into care delivery. Hospital outpatient infusion departments are the business on the other side of that shift.
