Banca Monte dei Paschi di Siena launched share-swap offers for Banco BPM, valued at about €25.3 billion, and Banca Generali, valued at about €8.72 billion, to fend off Intesa Sanpaolo's unsolicited €30.6 billion bid for MPS. MPS shareholders would receive about €4 billion: €1 billion in cash and €3 billion in Generali shares, equal to roughly 4.5% of the insurer's capital. The enlarged group would have a pro forma market value of around €80 billion, rank among Europe's ten largest banks, and targets about €2.6 billion of annual pre-tax synergies.
Why it matters for listed companies
Italy now has competing consolidation plans that decide who controls MPS, Banco BPM and Banca Generali, and with them the Mediobanca holding that gives influence over Generali. Shareholders of MPS, Banco BPM and Banca Generali must weigh rival offers paid mainly in shares, so their value moves with the bidders' stock prices. Any outcome needs clearance from Italian authorities, including the government's golden-power review, and from European banking supervisors.
