Segro agrees £14.3bn takeover by Prologis in a mainly share deal worth 1,031.7p per Segro share

EU Real Estate

What happened

UK warehouse and data-centre landlord Segro agreed to be acquired by US logistics property group Prologis for £14.3 billion. Segro shareholders receive 0.0920 new Prologis shares for each share, with a partial cash alternative of up to £3.5 billion, valuing Segro at 1,031.7p a share, a 39% premium to its close on June 23, 2026, the day before the offer period began. Segro's board agreed to the deal. Segro shares rose 0.6% to 966.24p on the day, below the offer value.

Why it matters for listed companies

The deal puts a takeover price on European logistics and data-centre property, a valuation marker for listed peers such as Tritax Big Box, LondonMetric, Warehouses De Pauw, CTP and VGP. It would also take one of the largest UK real-estate stocks out of the London market, part of a run of UK companies bought by US acquirers. Because most of the consideration is Prologis stock, the value Segro holders receive moves with Prologis's share price and the dollar-sterling exchange rate.
