NextEra agrees to buy Dominion Energy for $66.8 billion in stock, the largest power-sector deal on record

US Utilities

What happened

NextEra Energy agreed to exchange roughly 0.8 of its shares for each Dominion share, with Dominion holders also receiving $360 million in cash and NextEra holders owning about 75% of the combined company. The group would serve about 10 million utility customers in Florida, Virginia, North Carolina and South Carolina and own 110 GW of generation. Dominion shares rose 9.4% and NextEra fell 4.6% on the day.

Why it matters for listed companies

Dominion's territory includes Loudoun County, Virginia, the world's largest concentration of data centres, so the deal puts a big slice of AI-driven power demand inside one regulated utility. It sets a valuation marker for other utilities and independent power producers serving data-centre load. The transaction was the second-largest of 2026 after SpaceX's $250 billion tie-up with xAI.
