What the company does
Silentium Ltd. is an Israel-based, development-stage company that writes software for managing sound inside vehicle cabins. Its Active Acoustics software cancels road and engine noise using a car's existing microphones, speakers and processors instead of heavy insulation or dedicated hardware. It sells to car makers (OEMs), Tier-1 suppliers and semiconductor partners, earning engineering fees during development and then a royalty per vehicle once production starts. As of September 30, 2026 the technology was in about 1.8 million vehicles across 26 models from five car makers. Sales were $3,949,000 in 2025. It is offering 2,150,000 ordinary shares at an expected $6.00 to $8.00 each and has applied to list on NYSE American under the symbol SIAI.
Principal shareholders
The filing does not name a controlling shareholder in the sections read. It states that directors, officers and holders of 10% or more of the ordinary shares together beneficially own approximately 27.7% of the outstanding shares before the offering, and that certain existing shareholders may take part in the offering.
What the money is for
- Acquire new automotive OEM customers
- Research and development (about 17% of net proceeds over two to four years)
- Expand business with existing OEM customers
- Strengthen relationships with Tier-1 and semiconductor partners
- Expand into adjacent markets
- Working capital and general corporate purposes
Risks the company itself lists
- The company has made net losses since its inception in 1997 and had accumulated losses of $80,287,000 at June 30, 2026.
- Its audited 2025 financial statements carry an explanatory paragraph on substantial doubt about its ability to continue as a going concern.
- A handful of customers bring in most revenue: its top two customers accounted for about 62.1% of revenue in the six months ended June 30, 2026.
- Royalty revenue depends on how many vehicles the car makers actually produce over each multi-year vehicle program.
- Management has broad discretion over how the net proceeds are used.
- Buyers in the offering face immediate and substantial dilution in book value, and directors, officers and 10% holders own about 27.7% of the shares.
